MNT Tech Holding for Financial Investments S.A.E., known as “MNT-Halan,” has announced its intention to offer part of its shares on the Egyptian Exchange (EGX) through a public offering and a private placement, with EFG Hermes Promoting and Underwriting S.A.E. acting as the International Coordinator and Bookrunner for the offering
The planned listing marks a new milestone in MNT-Halan’s growth journey and reflects the company’s plans to expand its business, invest in financial technology, and develop digital financial services in the Egyptian market
The EGX Listing Committee approved, at its meeting held on September 14, 2026, the temporary listing of MNT-Halan’s shares with issued capital of EGP 160 million, divided into 1.6 billion shares with a nominal value of EGP 0.10 per share
The offering is expected to include 320 million shares offered by MNT Investments B.V., the company’s main shareholder, representing 20% of MNT-Halan’s total issued shares. The number of offered shares may be increased to a maximum of 400 million shares, representing up to 25% of the company’s total issued share capital, for sale and trading on the Egyptian Exchange
The offering will consist of a private placement to qualified investors in several countries, including Egypt, and a public offering to individuals and legal entities not identified in advance in Egypt
The company is currently completing the necessary procedures and seeking the required approvals from the Financial Regulatory Authority (FRA) and the Egyptian Exchange. The offering is expected to be completed during October 2026, subject to market conditions and obtaining the required regulatory approvals
The offering price will be determined through a book-building process, subject to the final offering structure and the necessary regulatory approvals
Following completion of the offering, MNT-Halan will increase its share capital by issuing a number of new shares not exceeding the number of shares sold through the public offering in Egypt and/or the private placement. The capital increase will be subscribed for exclusively by MNT Investments B.V. at the final offering price, with the number of new shares not exceeding 170 million
Prior to the commencement of trading of the company’s shares on the EGX, and subject to FRA approval, the selling shareholder intends to sell 24,333,334 shares to certain senior management employees of the group’s companies
Mounir Nakhla, Founder, Chief Executive Officer and Managing Director of MNT Tech Holding for Financial Investments “MNT-Halan,” said the planned offering represents an important milestone in the company’s journey
He noted that the move comes at a time when the Egyptian economy and capital markets have undergone significant developments over the past two years, enhancing the attractiveness of the market to foreign investors
Nakhla added that government and Central Bank of Egypt efforts to support economic growth, strengthen economic stability and maintain exchange-rate flexibility, alongside the FRA’s oversight of Egypt’s capital markets and the EGX’s efforts to digitize trading and deepen market liquidity, have contributed to improving the investment environment
He said these developments have enhanced the overall attractiveness of the market and created opportunities for major companies to list on the EGX, expressing his hope that the move would encourage more companies to benefit from Egypt’s capital market and contribute to attracting additional foreign investment
